MedTech180 LLC : Terms of service

1. Online Advertising and Marketing Services MedTech180 LLC ("MedTech180," "we," "us," or "our") provides a range of online marketing services, including healthcare marketing, search engine marketing (SEM), search engine optimization (SEO), social media management, content marketing, advertising campaigns, and more. By engaging with us, you agree to the Terms of Service set forth below. If you have any questions, please do not hesitate to contact us.
2. MedTech180 offers these services locally, nationally, and internationally. We will submit your information to various search and advertising providers on your behalf. These providers may include, but are not limited to: Google, Bing, Yahoo, Facebook, YouTube, Yelp, Healthgrades, Vitals, WebMD, and other healthcare-related directories and platforms. By engaging our services, you acknowledge and accept the terms and conditions of these providers, which apply to the services we provide. We will not share your business information with third parties except as necessary to secure online advertising and marketing services on your behalf.
3. Advertising Material MedTech180 has the right to place information related to your business on various online platforms, including but not limited to search engines, directories, social media, and other digital platforms. You authorize MedTech180 to develop advertising content based on materials provided by you or collected by us. This may include text, graphics, logos, phone numbers, URLs, service names, trademarks, photos, and videos. You represent and warrant that the information you provide is truthful, accurate, and that you have the authority to use and share this content. If applicable, you authorize MedTech180 to contact your patients for the purpose of gathering testimonials and reviews.
4. You understand that all monthly content developed by MedTech180 will be considered approved after seven (7) days unless you notify us of any edits or issues during this period. You further authorize us to use tracking phone numbers for customer service purposes and call recording, with appropriate notifications to customers.
5. Unacceptable Practices MedTech180 strives to offer the highest-quality services, and we adhere to strict guidelines. The following practices are unacceptable and may result in the immediate termination of our services, at our sole discretion:
   • Adult or explicit content
   • Sexually-oriented services (e.g., escort services)
   • Harmful, abusive, or discriminatory language or content
   • Fraudulent activities, phishing, or scams
   • Distribution of viruses or harmful software
   • Violations of local, state, national, or international laws
   • Unapproved use of medical data or patient information
   • Activities that negatively impact MedTech180’s reputation or relationships with other clients
6. MedTech180 reserves the right to terminate services if any of these practices are detected, and we will ensure all work performed is compensated accordingly, even if it is not approved by third-party platforms like Google or Facebook.
7. Fees You agree to pay MedTech180 the monthly fees associated with the advertising and marketing services, as outlined in the Service Agreement or contract. We may adjust the maximum monthly fees in accordance with changes in the media provider's policies or the services required for your campaign. All payments are due at the end of each calendar month.
8. For credit card payments, a 3% processing fee will be added. If payment becomes 45 days past due, campaign activities will be paused until the account is brought current. Accounts 90 days past due will be referred to collections.
9. Payment You agree to make payments for services rendered by MedTech180 LLC as specified in the Service Agreement. Payments are due on the last day of each month for the services provided during that month. For contracts that start mid-month, a prorated fee will be charged for the remaining days of that month. Monthly invoices will be sent by the 15th, and payments are due within 15 days. If payments are not made on time, services may be paused, and re-initiation fees may apply.
10. Term The MedTech180 Contract specifies the Initial Term for which program rates will be guaranteed, which will be a minimum of twelve (12) months for custom services. After the Initial Term, services will renew automatically unless either party provides a 30-day written notice of cancellation.
11. Representations and Warranties; License and Grant of Rights You represent and warrant that you have the authority to publish and use all content provided for your advertising programs. This includes ensuring that all materials comply with applicable laws and regulations, especially healthcare-related rules such as HIPAA, and that your content does not infringe on third-party rights.
12. Indemnification You agree to indemnify and hold MedTech180 harmless from any claims, damages, or liabilities arising from the use of materials provided by you, including any violations of third-party intellectual property rights, defamation, or violations of healthcare privacy laws.
13. No Guarantees You acknowledge that MedTech180 cannot guarantee specific outcomes or results from paid search advertising, SEO, or any marketing campaigns. We do not guarantee a certain number of clicks, impressions, or website visits, nor can we guarantee a particular ranking on search engine results pages.
14. Disclaimer of Warranties To the maximum extent permitted by law, MedTech180 and its suppliers disclaim all warranties not expressly set forth in this document. We do not guarantee uninterrupted service or error-free performance but will promptly address any issues as they arise.
15. Limitation of Liability and Applicable Law MedTech180’s liability to you is limited to the total amount of fees you have paid for services during the twelve (12) months preceding any claim. MedTech180 is not responsible for issues related to third-party platforms such as Google, Facebook, or other publishers. This agreement will be governed by the laws of the State of Illinois, and any disputes will be resolved via arbitration in Chicago, Illinois.
16. Force Majeure Neither party will be liable for failure to perform obligations due to causes beyond their control, including, but not limited to, natural disasters, technical failures, government regulations, or interruptions in internet service.
17. Assignment MedTech180 may assign, delegate, or subcontract its rights and obligations under this agreement at its discretion.
18. Miscellaneous This document represents the entire agreement between the parties regarding MedTech180’s provision of services. It will be binding upon the client and their successors upon signature of the Service Agreement.
19. Authority The individual signing the agreement certifies that they are authorized to purchase services on behalf of the company.
20. Effective Upon Execution These Terms and Conditions are binding on both parties upon the execution of the Service Agreement and/or payment for services.
